Position Summary

The Corporate Board Member serves as a fiduciary member, responsible for providing strategic leadership, governance, and oversight of the United Keetoowah Band Corporation. Board Members establish organizational direction, safeguard corporate assets, ensure compliance with applicable laws and governance standards, and act in the best interests of the Corporation and the United Keetoowah Band.

The Chairman of the Board serves as the Board's governance leader, facilitating effective Board operations, promoting accountability, and serving as the primary liaison between the Board and the Chief Executive Officer. Neither the Chairman nor Board Members participate in the Corporation's day-to-day operations, which remain the responsibility of executive management.

Board Member Essential Duties and Responsibilities

· Provide strategic leadership and governance oversight.

· Establish organizational priorities and approve major policies and initiatives.

· Exercise fiduciary responsibility through financial oversight, risk management, and protection of corporate assets.

· Hire, evaluate, and support the Chief Executive Officer.

· Review organizational performance, budgets, and long-term strategic plans.

· Attend and actively participate in Board, committee, and required Tribal meetings.

· Maintain confidentiality, avoid conflicts of interest, and uphold the highest ethical standards.

· Support Board decisions and act in the best interests of the Corporation.

· Maintain a close working relationship with the tribal council to advance the mission of the tribal government.

Additional Responsibilities of the Chairman

· Preside over Board meetings and facilitate effective governance.

· Develop meeting agendas with the CEO and Board Secretary.

· Serve as the primary liaison between the Board and the CEO.

· Coordinate CEO evaluations and Board development activities.

· Promote effective governance practices, Board education, and committee effectiveness.

· Represent the Board at authorized meetings and official functions.



Qualifications

Minimum Qualifications

  • Associate’s degree required, or equivalent combination of education and progressively responsible experience may be considered.
  • Experience in business management, accounting, banking, finance, real estate development, law, health care operations preferred.
  • At least 21 years of age.
  • Minimum of 5 years leadership experience in business, Tribal government, finance, healthcare, law, economic development, or a related field.
  • Knowledge of corporate governance, fiduciary responsibilities, and financial oversight.
  • Effective communication, leadership, and decision-making skills.

Term

  • Term shall be for four-year increments but the current appointments under this solicitation will complete the remaining term of the seat to which they are appointed.

This position may have care of or contact with Indian children.

This policy is commonly referred to as “employment -at- will.”
